Announcement on Explanation Relating to the Share Increase from Party Acting in Concert with the Largest Shareholder of the Company
To the best of our knowledge, the Board of Directors of the Company and its members confirm that there is no material false or misleading statement or material omission in this announcement and shall be severally and jointly liable for the truthfulness, accuracy and completeness of its content.
The Company received an explanation letter from its largest shareholder – Holchin B.V. and its party acting in concert with, Holpac Limited, on 20 March 2012. Holpac Limited, received an official letter from UBS AG Zurich dated 19 March 2012. This letter confirms that Holpac Limited, mandated UBS AG Zurich to purchase domestic listed foreign investment shares (B-shares) in Huaxin Cement since 23 December 2011 through the trading system Shanghai Stock Exchange. As per 31 December 2011, UBS AG held 16,261,336 B-shares in Huaxin Cement in the name and on behalf of Holpac Limited and its account and beneficial ownership.
The matter relating to Holchin B.V. increasing its B-shareholding of the Company through its party acting in concert with -Holpac Limited had been disclosed at China Securities Journal, Shanghai Securities News and Hong Kong Commercial Daily on 27 December 2011.
